By creating an account, linking a bank/mobile wallet, or using Floynex Pay (via web or mobile applications), you agree to these Terms and Conditions.

1. Introduction

Welcome to Floynex Pay. These Terms and Conditions govern your access to and use of the Floynex Pay platform, website, desktop web application, mobile applications, APIs, and related payment services operated by FLOYNEX DIGITAL TECHNOLOGIES LTD ("Floynex", "Company", "we", "us", or "our").

By accessing, registering for, downloading, or using our services, you agree to be legally bound by these Terms. If you do not agree, do not use the Platform.

2. Eligibility and Registration

  • **Age Requirements:** You must be at least 18 years old to create an account.
  • **Information Accuracy:** You must provide true, accurate, and current information during onboarding.
  • **Account Security:** You are entirely responsible for maintaining account security.
  • **Prohibited Behavior:** You may not impersonate any person or entity, or create fraudulent accounts.
  • **Device Ownership:** You must legally own or control the devices used to access the platform.
  • **Account Profiles & Toggling:** Users can access settings to toggle or switch their account from a personal account to a business account at any time. If a profile is set to a Business Account, all transaction records will display the registered business name. If set to a Personal Account, transaction records will display the individual's government-issued identification names. Users assume all legal and operational responsibilities related to the profile state they switch to.

3. Account Security & Mobile Device Safeguards

You are solely responsible for maintaining the confidentiality of your passwords, biometric login data, verification codes (OTPs), devices, and account credentials. Floynex shall not be liable for losses resulting from unauthorized account access caused by your negligence, malware on your device, sharing your credentials, or failing to secure your mobile device/desktop environment.

4. Acceptable Use Policy

You agree NOT to directly or indirectly:

  • Reverse engineer, decompile, or copy our software, interfaces, or systems.
  • Use bots, automated scrapers, or scripts to manipulate or extract data.
  • Upload malicious software, viruses, worms, or trojans.
  • Conduct fraudulent transactions, use stolen payment credentials, or engage in money laundering.
  • Use Floynex Pay to sell illegal goods, narcotics, weapons, or unlicensed financial instruments.
  • Attempt unauthorized access to company servers, networks, or databases.

5. Payment Processing, Wallets, and Transaction Limits

Floynex provides payment aggregation and transaction processing services. Transaction completion times may vary depending on third-party providers, network conditions, mobile telecommunications operators, local banks, and international card networks. Floynex acts as a facilitator and is not responsible for external network delays or system downtime.

We reserve the right to impose transaction velocity limits (daily, weekly, or monthly maximums) and run compliance checks at our sole discretion to prevent fraud.

**M-Pesa Integration and Ledger Mechanics:** Floynex processes payments into the platform from M-Pesa to the Floynex wallet via Safaricom Daraja live APIs utilizing an STK Push and a single designated Paybill shortcode gateway. Wallet-to-wallet transfers are handled instantly using internal system ledger logic. Withdrawals or platform gateways out of the Floynex wallet are processed directly back to M-Pesa accounts utilizing live B2C (Business-to-Customer) infrastructure linked to the same business account application.

6. QR Codes, Account Data Sharing, and Verification

The platform provides built-in tools allowing users to download or display a unique QR code for external scanning, alongside interactive dashboard buttons to copy or directly share account numbers. During wallet-to-wallet ledger transfers, scanning an active QR code will auto-type the recipient's account number into the payment fields.

**User Verification Duty:** Because the system features automated account typing and copying mechanics, users are required to double-check and verify the recipient's identity details before confirming a transfer. Floynex is not liable for wallet funds transferred to an incorrect account number due to scanning issues, copy-paste errors, or user input mistakes.

7. In-App Inbox Communication and Alerts

Floynex operates an internal user Inbox system. Users will receive direct administration panel messages regarding corporate information, platform emergencies, scheduled maintenance updates, system warnings, and account policy notices. Because these messages contain critical operational and security data, users must not ignore their in-app inbox communications. Notices sent to this inbox are considered legally delivered to the account holder.

8. Fees, Chargebacks, and Refund Policies

Applicable transaction fees will be disclosed before confirmation of a transaction. Once a transaction is successfully processed, all fees are final and non-refundable unless required by law or in the case of verified platform technical errors.

In the event of an unjustified chargeback or reversal initiated by you or your client via their bank/mobile network, Floynex reserves the right to freeze your balance to recover the disputed amount, alongside an administrative chargeback handling fee.

9. Verification, Anti-Money Laundering (AML), and KYC

To comply with legal regulations, Floynex may request identity verification documents (KYC), business registration details, proof of address, or origin of funds documentation at any time. Failure to provide requested information promptly may result in immediate transaction rejection, wallet freezing, or account suspension.

10. Dispute Window and Reporting Errors

You must review your transaction history regularly. Any errors, unauthorized transactions, or payment discrepancies must be reported to Floynex customer support within **thirty (30) days** from the transaction date. Failure to report an error within this 30-day window constitutes a full waiver of your right to dispute the transaction.

11. Mobile Application & App Store Compliance

When downloading Floynex Pay via the Google Play Store, Apple App Store, or any other digital distribution platform, you acknowledge that these terms are solely between you and Floynex, not the app store operators. You must comply with all relevant third-party store rules. Floynex is solely responsible for app maintenance, customer support, and addressing software bugs.

12. Account Inactivity and Abandoned Balances

Accounts with zero login activity for twelve (12) consecutive months will be deemed "Inactive." Floynex reserves the right to charge a reasonable monthly administrative fee against any remaining wallet balances on inactive accounts until the balance reaches zero or the account becomes active again.

13. Suspension, Termination, and Asset Freezing

We reserve the right to suspend, restrict, investigate, or terminate accounts immediately and without prior notice where fraud, system abuse, regulatory non-compliance, security concerns, or violations of these Terms are suspected. If your account is terminated due to legal violations or fraud, Floynex reserves the right to hold remaining balances indefinitely pending regulatory or law enforcement review.

14. Intellectual Property Rights

All trademarks, logos, software, compiled source code, application designs, interfaces, graphics, trade secrets, and intellectual property associated with Floynex Pay remain the exclusive property of FLOYNEX DIGITAL TECHNOLOGIES LTD. No license or ownership right is transferred to you by using our platforms.

15. Indemnification

You agree to indemnify, defend, and hold harmless FLOYNEX DIGITAL TECHNOLOGIES LTD, its directors, employees, and partners from and against any claims, losses, liabilities, damages, or costs (including legal fees) arising out of your breach of these Terms, your misuse of the platform, or your violation of any third-party rights or local financial laws.

16. Limitation of Liability

To the maximum extent permitted by law, FLOYNEX DIGITAL TECHNOLOGIES LTD shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of revenue, profits, user data, goodwill, financial loss, or business opportunities caused by platform downtime or transaction processing issues.

17. Force Majeure

Floynex shall not be liable for service interruptions or financial processing failures caused by circumstances beyond its reasonable control, including internet outages, major cyberattacks, natural disasters, regulatory changes, telecommunications failures, or third-party bank disruptions.

18. Governing Law & Dispute Resolution

These Terms shall be governed by and construed under the **Laws of the Republic of Kenya**. Any disputes shall first be resolved through amicable mediation via our customer compliance team before escalation to the Kenyan commercial courts or tribunals.
